This English version is provided for convenience. These documents are governed by Spanish law and the Spanish version prevails in the event of any discrepancy.
1. Description of services
Black Wings, S.L., trading as Black Wings, provides custom software development, integration of artificial intelligence into business processes, and managed IT services.
- Development of web and mobile applications and SaaS platforms to order.
- Integration of artificial intelligence models into business processes.
- Managed IT services delivered remotely: support and maintenance, cybersecurity and compliance, backups and continuity, IT consultancy, and systems integration.
- Integrations with third-party systems (ERP, CRM, payment gateways, external APIs).
Every project is scoped, defined and quoted individually by means of a prior written proposal. There are no public prices and no automatic contracting through this website.
2. Use of this website
This website is informational only. It does not allow user accounts to be created, it gives access to no platform, and it makes no sales or online contracting.
The site's only form is the contact form, and its purpose is to let us reply to you. It creates no user record and no subscription.
3. Contracting services
Services are always contracted by prior written proposal, accepted by both parties before work begins. The proposal sets out:
- The scope of the project.
- Specific deliverables.
- An estimated timeline.
- Price, payment terms and applicable taxation.
- The duration of maintenance or recurring service, where applicable.
There are no automatic subscriptions and no silent renewals. Any extension, maintenance or change after the initial agreement is formalised in a new proposal.
4. Invoicing and payment
Invoicing follows the terms of each accepted proposal. Non-payment may lead to temporary or permanent suspension of the services provided and to statutory interest becoming due.
5. Right of withdrawal (consumers)
If you contract a service as a consumer within the meaning of Spanish Royal Legislative Decree 1/2007, you have 14 calendar days from the conclusion of the contract to withdraw without giving a reason.
To exercise this right, write to hola@blackwings.dev stating your name, the contract details and your intention to withdraw. We will refund you within a maximum of 14 calendar days from receipt of the notice.
The right of withdrawal does not apply where the client is a company or a professional, nor where the service has been fully performed with your express prior consent before the period expired.
6. Intellectual property and licence of use
6.1. Content of this site. The text, design, brand, logos, images and code of this website are the property of Black Wings, S.L.. Their reproduction, distribution, public communication or transformation without prior written authorisation is prohibited.
6.2. Custom development delivered to the client. Unless expressly agreed otherwise in the relevant proposal, custom development is governed by the following regime:
- The client receives a non-exclusive, indefinite, non-transferable licence of use, limited to the scope of its business activity, over the specific code developed for its project.
- Black Wings, S.L. retains ownership of the reusable internal components, libraries, patterns and frameworks that were developed before the project, or during it with a view to generic use in other projects.
- Black Wings, S.L. may reuse in other clients' projects the technical knowledge, architectural patterns and generic components employed, provided no confidential information of the client is disclosed.
- The client retains exclusive ownership of its data, content, brand, designs, images and any material it supplies.
6.3. Client data. Data entered by the client and its users into systems we develop or maintain is and always will be the property of the client. Black Wings, S.L. acts solely as a processor within the meaning of Regulation (EU) 2016/679 (GDPR).
7. Acceptable use
You undertake not to use this website or the services of Black Wings, S.L. to:
- Carry out unlawful activities or activities that infringe third-party rights.
- Introduce viruses, malware or any harmful code.
- Reverse-engineer or attempt to access unauthorised parts of the infrastructure.
- Impersonate other people or entities.
- Overload the service through denial-of-service attacks or automated abuse, including mass submissions through the contact form.
8. Availability
Black Wings, S.L. makes reasonable efforts to keep this website available, but does not guarantee uninterrupted availability or the complete absence of errors, and is not liable for interruptions arising from:
- Scheduled maintenance.
- Failures of infrastructure providers beyond our control.
- Force majeure.
- Urgent action taken for security reasons.
Specific availability levels (SLAs) for contracted services, where they exist, are defined in the proposal for each project.
9. Confidentiality
Both parties undertake to treat as confidential all technical, commercial or financial information to which they gain access in the course of the contractual relationship, and not to disclose it to third parties without prior consent, save where legally required.
This obligation survives termination of the contract for five years.
10. Limitation of liability
To the fullest extent permitted by applicable law, Black Wings, S.L. shall not be liable for:
- Indirect, consequential or unforeseeable damage arising from the use of, or inability to use, the services.
- Loss of data, loss of profit, loss of earnings or reputational harm.
- Acts or omissions of third-party infrastructure or integration providers.
The total liability of Black Wings, S.L. towards the client, on any ground, is limited to the amount actually paid by the client during the twelve months preceding the event giving rise to the claim.
These limitations do not apply in cases of wilful misconduct or gross negligence, nor where applicable law prohibits them.
11. Data protection
The processing of personal data is governed by the Privacy policy, which forms an integral part of this legal notice.
12. Changes to these terms
We may update these terms to reflect legal, technical or business changes. The version in force is always the one published on this page, bearing the last-updated date shown in the header.
13. Assignment
Black Wings, S.L. may assign its contractual position in the context of corporate transactions (merger, spin-off, sale of assets), giving the client reasonable prior notice. The client may not assign its rights and obligations without prior written consent.
14. Severability
If any clause is declared void or unenforceable by a competent court, the remainder shall remain in full force and shall be interpreted so as to preserve, as far as possible, the original intention of the parties.
15. Governing law and jurisdiction
These terms are governed by Spanish law. For any dispute arising from their interpretation or performance, the parties submit, expressly waiving any other jurisdiction, to the Courts and Tribunals of Valencia (Spain), without prejudice to any mandatory jurisdiction that may apply to the user as a consumer.
